Wholesale Agreement Terms and Conditions

1. New Accounts

• A completed application must be submitted before approval.
• Minimum opening order is ______________.
• New accounts are approved and opened at GIMME's discretion.
• Displays provided by GIMME will feature only GIMME products, no other brands.
• Each individual store location must be approved by GIMME.

2. Existing Accounts

• Accounts will be added to the GIMME store locator once the initial order is shipped.

3. Pricing

• All prices are wholesale.
• Pricing is subject to change at any time without prior notice.

4. Minimum Advertised Price (MAP)

• Resellers are required to maintain GIMME's standard MSRP in all advertising (print, web, email, and social media).
• Discounting below MAP is strictly prohibited unless otherwise approved in writing by GIMME.

5. Online Selling

• Online sales are permitted only with prior written approval from GIMME.
• Approved retailers may sell products only on their own branded website.
• Sales on third-party marketplaces, including Amazon, Walmart, eBay, or similar platforms, are strictly prohibited.
• GIMME reserves the right to revoke online selling privileges at any time.

6. Inactive Accounts

• Accounts that have not reordered within 12 months may be deemed inactive.
• Reinstatement is subject to review and approval at GIMME's discretion.

7. Payment

• Credit Card: Pre-payment is required before shipping. The card will be charged when the order is processed.
• Net Terms: Net 30 available for approved accounts. Terms may be revoked if balances are unpaid or delinquent.

8. Order Processing Tim

• Processing time is 3-5 business days.

9. Shipping

• Orders ship via standard ground service unless otherwise specified.
• Shipping costs are the responsibility of the retailer.

10. Claims & Damages

• Claims for damages or discrepancies must be submitted within 7 days of receipt.
• Photo documentation is required to initiate any claim or replacement.

11. Product & Brand Protection

• Resellers must not create, manufacture, or sell any products that replicate or closely resemble GIMME designs.
• All GIMME products must be purchased directly from GIMME.
• Resale to other wholesalers or third-party resellers is not permitted without prior approval.
